The SCLM (Stateful Coherent Language Model Architecture) library is Proprietary Software developed by Mike Amega. It is available under a dual-licensing model to support both the community and sustainable commercial development.
================================================================================ 1. COMMUNITY LICENSE (Free)
You may use SCLM freely for the following purposes:
- Personal & Hobbyist: Building personal projects, learning, or experimenting.
- Academic Research: Non-profit research and education at accredited institutions.
- Small Business: Commercial use by companies with Gross Annual Revenue less than $100,000 USD.
Under the Community License, you are granted a non-exclusive, non-transferable, royalty-free license to: (a) Use the Software for the permitted purposes listed above; (b) Modify the Software for your own internal use; (c) Create derivative works for your own internal use.
Community License Restrictions:
- You may NOT redistribute the Software or derivative works to third parties.
- You may NOT sublicense the Software.
- You may NOT remove or alter any proprietary notices.
- You may NOT use the Software in any SaaS (Software-as-a-Service) offering.
================================================================================ 2. COMMERCIAL LICENSE (Paid)
A Commercial License is REQUIRED if ANY of the following conditions apply:
(a) Your organization's gross annual revenue exceeds $100,000 USD.
(b) You are using SCLM in a SaaS (Software-as-a-Service) product where you provide the functionality to third parties (regardless of revenue).
(c) You wish to redistribute SCLM or derivative works in a proprietary product.
(d) You require warranty, indemnification, or priority technical support.

- Right to redistribute in proprietary products

3.1 INTELLECTUAL PROPERTY
The Software, including all modifications, enhancements, derivative works, and associated documentation, remains the exclusive property of Mike Amega / Ame Web Studio. This License does not grant you any rights to trademarks, service marks, or trade names of the Licensor.
3.2 NO WARRANTY (Community License)
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
3.3 LIMITATION OF LIABILITY
IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
3.4 TERMINATION
This License is effective until terminated. Your rights under this License will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the Software in your possession.
3.5 GOVERNING LAW
This License shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
